End User License Agreement

1. Agreement to Terms

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, "you" or "Licensee") and IntuitiveLegal ("we," "us," or "Licensor") for the use of IntuitiveLegal practice management software (the "Software").

By installing, copying, downloading, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install, access, or use the Software.

2. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Access and use the Software via web browser or mobile application
  • Use the Software for your internal business operations
  • Allow authorized users within your law firm to access the Software

3. License Restrictions

You agree not to:

  • Copy, modify, or create derivative works of the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Remove, alter, or obscure any proprietary notices on the Software
  • Rent, lease, lend, sell, sublicense, or otherwise transfer the Software
  • Use the Software to provide services to third parties (service bureau use)
  • Circumvent or disable any security or access control features
  • Use the Software for any illegal or unauthorized purpose
  • Introduce viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to any systems or networks

4. Ownership and Intellectual Property

The Software is licensed, not sold. We retain all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights to trademarks or service marks.

5. User-Generated Content

You retain ownership of all content you create, upload, or store using the Software ("User Content"). You grant us a limited license to use your User Content solely to:

  • Provide and improve the Software
  • Generate analytics and insights (in anonymized, aggregated form)
  • Comply with legal obligations

We will not access your User Content except as necessary to provide support, maintain security, or comply with legal requirements.

6. Subscription and Payment

Use of the Software requires an active subscription. You agree to:

  • Pay all fees associated with your chosen subscription plan
  • Provide accurate billing information
  • Notify us of any changes to your payment method
  • Accept automatic renewal unless you cancel before the renewal date

7. Data Security and Privacy

We implement reasonable security measures to protect your data. However, you acknowledge that:

  • No method of transmission or storage is 100% secure
  • You are responsible for maintaining the confidentiality of your credentials
  • You should implement appropriate security measures on your end

Our collection and use of personal data is governed by our Privacy Policy.

8. Updates and Modifications

We may update, modify, or discontinue features of the Software at any time. Updates may be:

  • Automatic and applied without notice
  • Required to continue using the Software
  • Subject to additional terms and conditions

9. Support and Maintenance

We will provide support and maintenance according to your subscription plan. Support may include:

  • Email and chat support during business hours
  • Bug fixes and security patches
  • Regular feature updates and enhancements

10. Warranties and Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy, reliability, or completeness of content
  • Uninterrupted or error-free operation

YOU USE THE SOFTWARE AT YOUR OWN RISK. We do not warrant that the Software will meet your requirements or that defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • These limitations apply even if we have been advised of the possibility of such damages

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of the Software
  • Your violation of this EULA
  • Your violation of any third-party rights
  • Your User Content

13. Term and Termination

This EULA is effective until terminated. You may terminate it by:

  • Canceling your subscription
  • Ceasing all use of the Software
  • Deleting all copies in your possession

We may terminate this EULA immediately if you breach any terms. Upon termination:

  • Your license to use the Software ends immediately
  • You must cease all use and delete all copies
  • We may delete your User Content after a grace period
  • Provisions that should survive termination will continue to apply

14. Export Compliance

You agree to comply with all applicable export laws and regulations. You represent that you are not:

  • Located in a country subject to U.S. trade embargo
  • Listed on any U.S. government restricted parties list

15. Governing Law and Dispute Resolution

This EULA shall be governed by the laws of the United States. Any disputes shall be resolved through:

  • Informal Negotiation: First, by good-faith discussion
  • Binding Arbitration: If negotiation fails, through arbitration
  • Class Action Waiver: You agree not to participate in class actions

16. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and us regarding the Software.

17. Severability

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Important Notice: By using the Software, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you are accepting on behalf of your employer or another entity, you represent that you have the authority to bind that entity to this EULA.
